1. Agreement
These Terms of Service ("Terms") are a binding agreement between you (or the organization you represent) and VOCSER ("we," "us," or "our") governing your access to and use of the VOCSERplatform, including our website, applications, and related services (collectively, the "Service"). By creating an account, signing in, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. Eligibility and Accounts
You must be at least 18 years old and have the authority to bind your organization to these Terms. You are responsible for the accuracy of the information you provide and for keeping your account credentials secure. You are responsible for all activity under your account. You must notify us promptly of any unauthorized use.
3. Use of the Service
We grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes in accordance with your subscription plan and these Terms. You must use the Service in compliance with all applicable laws and our Acceptable Use Policy. You may not resell, sublicense, or allow third parties to access the Service except as permitted (e.g., end users within your organization).
4. Subscription, Payment, and Billing
Paid plans are billed in accordance with the pricing displayed at the time of sign-up or upgrade. You authorize us to charge the payment method on file. Fees are non-refundable except as required by law or as stated in our refund policy. We may change pricing with reasonable notice; continued use after a price change constitutes acceptance. Failure to pay may result in suspension or termination of the Service.
5. Your Data and Privacy
You retain ownership of data you submit to the Service ("Your Data"). You grant us the license necessary to operate the Service (e.g., to store, process, and display Your Data). Our collection and use of personal data are described in our Privacy Policy, which is incorporated by reference. We implement reasonable security measures; we do not guarantee absolute security.
6. Our Intellectual Property
The Service, including software, design, text, graphics, and our trademarks, is owned by us or our licensors and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works except as necessary to use the Service in accordance with these Terms.
7. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. VOICE TRANSCRIPTION AND CLASSIFICATION ARE PROVIDED VIA THIRD-PARTY SERVICES AND MAY BE SUBJECT TO LIMITATIONS OR ERRORS.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE AND OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR, IF GREATER, ONE HUNDRED U.S. DOLLARS).
9. Indemnification
You agree to indemnify and hold harmless us and our affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, Your Data, or your violation of these Terms or applicable law.
10. Termination
You may stop using the Service at any time. We may suspend or terminate your access for breach of these Terms, non-payment, or for any reason with notice where feasible. Upon termination, your right to use the Service ceases. Provisions that by their nature should survive (including Sections 5–9 and this sentence) will survive termination.
11. Disputes and Governing Law
These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any dispute arising out of or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there. You waive any right to participate in a class action.
12. Changes
We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Material changes may be communicated by email or in-product notice. Continued use of the Service after the effective date of changes constitutes acceptance. If you do not agree, you must stop using the Service.
